1. Acceptance of Terms

By accessing and using the services provided by jugglezyfv B.V. ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and jugglezyfv B.V.

If you do not agree to these Terms, you may not access or use our services.

3. Services Description

jugglezyfv provides comprehensive rental management services including but not limited to:

  • Property marketing and tenant acquisition
  • Tenant screening and selection
  • Rent collection and financial management
  • Property maintenance coordination
  • Tenant relations and communication
  • Legal compliance and documentation
  • Property inspections and reporting
  • Market analysis and pricing optimisation

Specific services will be detailed in individual service agreements with each client.

4. Service Agreement and Fees

4.1 Service Agreement

Our services are provided under individual service agreements that specify:

  • Scope of services to be provided
  • Management fees and payment terms
  • Duration and termination conditions
  • Specific responsibilities and obligations
  • Property-specific requirements

4.2 Management Fees

Management fees are calculated as a percentage of gross rental income and vary based on service level:

  • Basic Management: 8% of monthly rental income
  • Full Management: 12% of monthly rental income
  • Premium Management: 15% of monthly rental income

4.3 Additional Fees

Additional fees may apply for:

  • Initial property setup and marketing
  • Tenant placement services
  • Legal proceedings and evictions
  • Extensive property repairs coordination
  • Out-of-scope services requested by client

5. Client Obligations

As a client, you agree to:

5.1 Property Requirements

  • Provide accurate property information and documentation
  • Ensure properties meet all legal and safety requirements
  • Maintain adequate property insurance
  • Provide necessary access for inspections and maintenance
  • Comply with all applicable landlord obligations under Dutch law

5.2 Financial Obligations

  • Pay management fees promptly as agreed
  • Provide funds for necessary property maintenance
  • Maintain separate accounts for rental income and expenses
  • Provide accurate tax and financial information

5.3 Communication and Cooperation

  • Respond promptly to requests for information or decisions
  • Provide accurate contact information and updates
  • Cooperate in resolving tenant issues and maintenance needs
  • Notify us of any changes affecting the property or services

6. Our Responsibilities

jugglezyfv commits to:

6.1 Service Delivery

  • Provide services with professional care and expertise
  • Act in your best interests within the scope of our agreement
  • Maintain confidentiality of your information
  • Provide regular reporting on property performance
  • Comply with all applicable laws and regulations

6.2 Financial Management

  • Collect rents and manage tenant payments
  • Maintain accurate financial records
  • Remit rental income promptly after deducting fees and expenses
  • Provide detailed financial reporting

6.3 Tenant Management

  • Screen tenants according to established criteria
  • Handle tenant communications professionally
  • Coordinate maintenance and repairs
  • Enforce lease terms and rental policies

7. Limitation of Liability

7.1 Service Limitations

Our liability is limited to the scope of services explicitly agreed upon. We are not responsible for:

  • Property damage not caused by our negligence
  • Tenant defaults or rental income losses beyond our control
  • Market conditions affecting property values or rental rates
  • Legal changes affecting property ownership or rental regulations
  • Acts of nature, vandalism, or criminal activity

7.2 Financial Limitations

Our total liability for any claims arising from our services shall not exceed:

  • The total management fees paid by you in the 12 months preceding the claim
  • €25,000 per incident, whichever is lower
  • Our professional indemnity insurance coverage limits

7.3 Consequential Damages

We shall not be liable for indirect, consequential, or punitive damages including lost profits, business interruption, or loss of rental income beyond direct damages.

8. Termination

8.1 Termination by Client

You may terminate our services by providing:

  • 60 days written notice to legal@jugglezyfv.top
  • Payment of all outstanding fees and expenses
  • Cooperation in transitioning property management
  • Return of any company property or access credentials

8.2 Termination by Company

We may terminate services immediately if:

  • You breach these Terms or your service agreement
  • Management fees remain unpaid for 30 days after notice
  • You provide false or misleading information
  • Your property becomes illegal to rent or unsafe
  • You engage in illegal activities related to the property

8.3 Effect of Termination

Upon termination:

  • We will transfer property management responsibilities
  • Final accounting and payment of balances will be provided
  • Tenant relationships and agreements will be transferred
  • Confidentiality obligations will continue

9. Intellectual Property

All intellectual property rights in our systems, processes, reports, and materials remain our property. You may not:

  • Copy, reproduce, or distribute our proprietary materials
  • Use our trademarks or branding without permission
  • Reverse engineer our systems or processes
  • Share confidential business information with third parties

10. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR. By using our services, you consent to:

  • Collection and processing of necessary personal data
  • Sharing data with service providers and authorities as required
  • Storage of data for legal and business purposes
  • Use of data for service delivery and improvement

11. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including:

  • Natural disasters, pandemics, or emergencies
  • Government actions, regulations, or legal changes
  • Labour strikes or supply chain disruptions
  • Technology failures or cyber security incidents
  • War, terrorism, or civil unrest

We will make reasonable efforts to minimise the impact of such events on our services.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt resolution through:

  • Direct negotiation between the parties
  • Mediation through a qualified mediator
  • Alternative dispute resolution mechanisms

12.2 Formal Proceedings

If informal resolution fails, disputes shall be resolved through:

  • Binding arbitration under Dutch arbitration rules
  • Proceedings conducted in English or Dutch
  • Arbitration seat in Amsterdam, Netherlands
  • Application of Dutch substantive law

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with Dutch law. The courts of Amsterdam, Netherlands, have exclusive jurisdiction over any disputes that cannot be resolved through arbitration.

13.1 Applicable Regulations

Our services comply with:

  • Dutch Civil Code (Burgerlijk Wetboek)
  • Rental Protection Act (Huurbeschermingswet)
  • General Data Protection Regulation (GDPR)
  • Anti-Money Laundering regulations
  • Local Amsterdam housing regulations

14. Amendments and Updates

We may update these Terms from time to time to reflect:

  • Changes in applicable laws or regulations
  • Improvements to our services or processes
  • Industry best practices and standards
  • Business operational changes

We will notify you of material changes by:

  • Email notification to your registered address
  • Notice on our website at jugglezyfv.top
  • Direct communication for significant changes

Continued use of our services after notice constitutes acceptance of updated Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely reflect the original intent.

16. Entire Agreement

These Terms, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and jugglezyfv B.V. They supersede all prior negotiations, representations, or agreements relating to the subject matter.

No modifications to these Terms are valid unless made in writing and signed by both parties.
